DoorDash has reached an agreement to buy grocery delivery firm Instacart for $17 billion, marking its largest acquisition to date.

Food delivery provider DoorDash has announced plans to purchase grocery delivery platform Instacart in a transaction valued at $17 billion, equivalent to about £12.8 billion. The agreement is projected to finalize either by the end of 2027 or during the first half of 2028, pending regulatory review. Under the terms of the arrangement, DoorDash will offer $65 per share, representing a 26 percent premium over Instacart stock closing values recorded on October 22 prior to merger rumors. Funding for the purchase will consist of at least 75 percent cash.

Executives from both firms stated that the union aims to broaden consumer choices and increase merchant participation across their platforms. Once combined, customers purchasing items through Instacart will gain access to 150,000 stores, expanding significantly from the current network of 100,000 locations. Meanwhile, the purchase allows DoorDash to extend its operational scope beyond restaurant meals into broader retail markets and weekly household purchases.

DoorDash is acquiring Instacart for $17 billion to expand its retail and grocery delivery footprint.

Tony Xu, co-founder and chief executive of DoorDash, noted that integrating Instacart brings specialized knowledge regarding grocery selections and item substitutions. He pointed out that online grocery management requires precise handling, noting the intricacies of picking specific produce and managing temperature-sensitive goods. Instacart chief executive Chris Rogers emphasized that the collaboration builds upon fourteen years of helping merchants scale their digital storefronts.

Following transaction completion, DoorDash intends to maintain the Instacart brand, application, and technical infrastructure. Both enterprises will continue operations independently until the deal officially closes. Analysts observing the sector indicate that market expansion is shifting toward higher-value orders like recurring grocery trips and convenience goods as traditional restaurant delivery reaches maturity.

Potential regulatory hurdles remain ahead for the proposed consolidation. Government oversight authorities are anticipated to examine the transaction for antitrust concerns. Additionally, local regulatory bodies, such as New York City's commission on consumer and worker protections, have expressed apprehension regarding corporate consolidation within the delivery sector following recent labor settlements.
