Hyperliquid Strategies, a Nasdaq-listed treasury firm trading as PURR and chaired by former Barclays CEO Bob Diamond, has disclosed that its subsidiary applied to become a futures commission merchant, or FCM. This regulatory move follows the firm building its initial business around holding HYPE tokens, and it now aims to facilitate American participation on the trading platform.

An FCM is a CFTC-registered broker responsible for holding customer funds and processing futures orders. If the application receives approval from regulators, the unit would manage U.S. client accounts for permissioned markets operating on Hyperliquid. This setup would allow Americans to engage in perpetual futures trading within a fully regulated framework.

Perpetual futures operate as derivatives lacking an expiration date, enabling traders to utilize leveraged positions. Although Hyperliquid functions as a major onchain venue for these derivatives, it currently restricts U.S. users from accessing its platform. To address market access, the platform utilizes a framework allowing outside entities to launch distinct perpetual markets on the order book following token staking.

Why Hyperliquid Is Up

A proposed permissioned version of this framework would permit a regulated deployer to run markets specifically restricted to approved traders, utilizing the underlying protocol merely as neutral infrastructure. The chief executive officer of Hyperliquid Strategies described the capital deployment and the FCM application as components of a single strategic bet.

During the most recent quarter, the firm acquired millions of HYPE tokens and repurchased company shares, funded largely through equity sales. The treasury reported substantial net income driven primarily by unrealized gains as the token price appreciated significantly. Other entities, including Kraken's parent company and the owner of the New York Stock Exchange, are also pursuing initiatives to bring similar derivative products to the American market.

Treasury firm Hyperliquid Strategies applies for an FCM license to bring regulated perpetual futures to U.S. clients.

Why it matters

Regulatory approval is still required for both the broker registration and the permissioned markets it intends to serve, with no confirmed timeline provided by the company. Increased U.S. trading volume routed through the platform would likely generate higher fee revenues for the protocol, which uses those funds to repurchase its native tokens, potentially expanding the business operations of the treasury firm beyond simply holding digital assets.
