A subsidiary of the Nasdaq-listed Hyperliquid Strategies has officially applied to become a futures commission merchant (FCM). This strategic move is intended to facilitate the introduction of Hyperliquid-based perpetual futures markets within the United States. The company disclosed these plans in its latest quarterly results, which covered the period ending September 30.

Understanding Hyperliquid Strategies

According to CEO David Schamis, the firm views its HYPE holdings as a primary mechanism to capture the economic value generated by the Hyperliquid protocol. By pursuing the FCM registration, the company aims to bring specific markets deployed on the protocol onshore. The proposed subsidiary would be responsible for managing United States customer accounts for permissioned markets, provided the necessary regulatory approvals are secured.

The framework for these operations relies on HIP-3, which allows independent operators to launch custom perpetual futures markets on the protocol's onchain infrastructure. To participate, operators must stake 500,000 HYPE tokens, valued at approximately $38.8 million. Future iterations of this framework may allow for the creation of permissioned markets that restrict access to pre-approved addresses.

Financial data for the quarter shows significant capital activity. Hyperliquid Strategies raised $911 million in equity capital and utilized $785 million to acquire 9.1 million HYPE tokens. Additionally, the company spent $17 million to repurchase 2.7 million PURR shares. As of September 30, the firm held 38.5 million HYPE tokens, with a valuation of $3.5 billion at that time. Following the release of these results, shares of Hyperliquid Strategies (PURR) experienced a 9.6% decline on Thursday, closing at $8.76.

Industry competition is also intensifying in this space. On October 29, the Intercontinental Exchange, which owns the New York Stock Exchange, announced an agreement with Trade[XYZ] to bring similar perpetual markets to the US. This initiative is also subject to regulatory oversight and would involve a dedicated market and clearing structure.

Why it matters

The move represents a significant effort to integrate decentralized protocol infrastructure with traditional US financial regulatory frameworks. If approved, this would allow US-based participants to engage with permissioned markets on Hyperliquid, potentially bridging the gap between onchain finance and domestic trading standards.

For investors and market participants, the outcome of the FCM application and the proposed market structures will determine the accessibility of these specialized financial products. These developments highlight the ongoing trend of major entities seeking to formalize the deployment of onchain finance tools within regulated environments.
