Evernorth, a company focused on holding XRP, has filed to register 73.7 million shares for potential resale. This move comes as the Ripple-backed Evernorth faces ongoing market challenges following its recent Nasdaq listing. The registration includes shares held by prominent institutional investors, though the company clarified that the filing is a procedural step to satisfy agreements related to its business combination rather than an indication of immediate liquidation plans.
Since its debut on October 12, where shares reached a high of $19.39, the stock has experienced significant volatility. By November 2, the price hit a record closing low of $11.70, representing a decline of nearly 40%. While there was a slight recovery to $11.98 the following day, the stock remains approximately 38% below its initial high. This performance has drawn increased scrutiny toward the company's ownership structure.

Ownership and Lock-up Details
The SEC filing identifies several major stakeholders, including Ripple Labs, which accounts for 18.14 million shares, and the Arrington XRP Capital Fund, which registered approximately 33.82 million shares. Other notable participants include affiliates of SBI Holdings, the Larsen Lam Children's Remainder Trust, Pantera Capital's DAT Opportunities fund, GSR Markets Switzerland, Payward, and the Japanese gaming firm gumi.
Despite the registration, many of these securities remain subject to contractual restrictions. A significant portion of the shares, particularly those held by Ripple, the Arrington-controlled sponsor, and the Larsen-associated entity, are under lock-up agreements that generally prevent transfers until April 2027. The company noted that approximately 7.04 million issued Class A shares were subject to these restrictions at the time of the merger closing on October 9.
Market Impact and Risks
The registration encompasses a mix of already issued Class A stock, as well as shares that could be created through the conversion of Class C shares or the exchange of company units. Evernorth emphasized that it would not receive proceeds from these potential resales, except for potential cash from warrant exercises. However, the company acknowledged in its risk disclosures that the prospect of large-scale shareholder sales could exert downward pressure on its stock price. The firm entered the public market with approximately 473 million XRP, aiming to grow its reserves, though it also reported that 80% of the predecessor SPAC's public shares were redeemed before the merger.
Why it matters
This filing highlights the potential for future supply increases in a stock already struggling with volatility. For investors, it underscores the importance of monitoring ownership structures and lock-up expiration dates, which serve as key milestones for when institutional holdings may officially enter the public market.
